Evelyn C. Arkebauer
Evelyn is a seasoned professional who applies
both business judgment and common sense to her
clients' legal matters. She has substantial breadth
of experience in a wide range of corporate and
securities matters, with a special focus on the legal
and business relationships between investors and
their companies, both publicly and privately held.
She is highly attuned to legal and contractual
nuances, and demonstrates a keen understanding
of the personal issues that can influence
negotiations and business decisions on both sides.
She also has what appears to be an unusual ability
among lawyers to communicate in plain English.

Evelyn is a 1986 graduate of the University of
Michigan Law School and a 1983 graduate, with
honors, of the University of Wisconsin. She is
a member of Phi Beta Kappa and in 2000 was
named one of "40 Illinois Attorneys Under 40
To Watch" by the Chicago Law Bulletin.


Todd Arkebauer
Todd uses his substantial depth and breadth of
corporate and securities law experience to help
clients achieve their objectives in our constantly
changing business environment. He represents
public and private companies in a wide variety of
transactions, including securities offerings, venture
capital investments, corporate acquisitions and
divestitures. Todd also serves as lead outside
counsel for publicly held companies, providing
savvy yet practical counsel on day-to-day
operations, corporate governance standards and
obligations under federal securities laws, including
the regulation of insider trading under Section 16
of the Securities Exchange Act, Securities Act
registration, Rule 144, proxy rules and disclosure
requirements.

Todd is a 1988 graduate of The Ohio State
University College of Law, where he was the
Executive Editor of The Ohio State Law Journal.
He received his undergraduate degree at the
University of Michigan in 1984. He was the Chair
of the Securities/Capital Markets Group at Reed
Smith LLP until January 2011. Since 2005, Todd
has served as a director of Access Living, an
organization committed to the advancement and
empowerment of people with disabilities, and he
also serves on its Finance Committee (Chair),
Executive Committee and as Treasurer.
